FLASH SALE – Terms of Use
Please read these terms of use (“Terms”) as it constitutes a legally binding agreement between APM Property Management Pte Ltd (APM), as Property Manager of Suntec City, and you, the user of the Suntec+ mobile application.

1. Definitions
“Merchant” means a third party seller of goods and services for which a voucher can be redeemed.

“Purchase” means the purchase of a voucher in exchange for goods and/or services offered by the merchants.

“Voucher” means a voucher which is subject to the Merchants’ terms of use, which, if purchased by you, allows you (i.e. the purchaser of it but not anyone else) to redeem it at a particular Merchant in Suntec City Mall in exchange for goods and/or services offered by that Merchant.

“Mobile App” refers to the Suntec+ mobile application.

2. Purchase
2.1 Need for registration: You must be a Suntec+ member in order to make a purchase from the Mobile App.

2.2 Emails: We reserve the right to send you administrative and promotional emails. You can opt-out of our promotional e-mails at any time by clicking the unsubscribe link at the bottom of any of such e-mail correspondence.

2.3 Purchase Transaction: When you confirmed your acceptance to these terms of use during a Purchase and after we have taken payment, the transaction is complete.

2.4 By making a purchase, you acknowledge that the purchase made is subject to these terms of use.

2.5 Payments: We use third party payment service providers to facilitate your Payment Method. The terms of your payment will be based on your payment method and may be determined by agreement between you and your financial institution, credit/debit card issuer or other providers of your selected payment method. We disclaim all liabilities associated with the security of the Payment Method. You shall be responsible to resolve any disputes with your financial institution, credit/debit card issuer or other providers of your selected payment method.

2.6 Redemption: Once you have made a purchase on the Mobile App, you may redeem the good(s) and or service(s) at the merchant’s store. Any attempted redemption of a Voucher not consistent with these terms of use may render a Voucher void at our (or the Merchant’s) discretion.

2.7 No changes to order allowed: All sales are final unless stated otherwise.

2.8 Restrictions: (i) Reproduction, sale, resale or trade of a Voucher is prohibited. Any attempt to carry out any of these will potentially void the Voucher at our discretion. (ii) If the Voucher is redeemed for less than its face value, there is no entitlement to a credit, cash or new Voucher equal to the difference between the face value and the amount redeemed. (iii) Voucher is redeemable in entirety only and may not be redeemed incrementally.

2.9 Lost/stolen vouchers: Neither Suntec+ nor the Merchant is responsible for lost or stolen Vouchers or Voucher reference numbers.

2.10 Expiry: The Voucher expires on the date specified on the Voucher.

2.11 Taxes: Your purchase of a Voucher is inclusive of applicable taxes where required by law. You agree that your fee shall be subject to all prevailing statutory taxes, fees, charges and/or costs, however denominated, as may be in force and in connection with any future taxes that may be introduced at any point of time. You further agree to use your best efforts to do everything necessary and required by the relevant laws to enable, assist and/or defend us to claim or verify any input tax credit, set off, rebate or refund in respect of any taxes paid or payable in connection with the Voucher.

2.12 Responsibility: The Merchant, and not Suntec+, is the seller of the Voucher and is solely responsible for fulfilling any Voucher Purchase.

2.13 No Warranties: Suntec+ does not make any warranties for the Vouchers in exchange of good(s) and/or service(s) sold by Merchants on the Mobile App. Any warranties are provided directly by the Merchants. You agree not to hold Suntec+ responsible for the Merchants’ content, actions or inactions. Suntec+ has no control over and does not guarantee the quality, safety or legality of good(s) and/ or service(s) advertised, the truth or accuracy of Merchants’ content or listings or the ability of Merchants to complete a transaction.

3. Your obligations
3.1 Merchant terms: Merchants will have their own terms of use, in relation to their own supply of their goods and services, and you agree to (and shall) abide by those terms of you. The responsibility to do so is yours alone.

3.2 Accurate information: You warrant that all information provided is true, complete and accurate and that you will promptly inform us of any changes to such information by updating the details in your account.

3.3 Content on the Mobile App and Vouchers: It is your responsibility to ensure that any goods, services or information available through the Mobile App meet your specific requirements.

3.4 Forbidden uses: The following uses of the Vouchers are expressly prohibited and you undertake not to do (or to permit anyone else to do) any of the following:
3.4.1 resale of the any Voucher;
3.4.2 furnishing false data including false names, addresses and contact details and fraudulent use of credit/debit card numbers;
3.4.3 attempting to circumvent our security or network;
3.4.4 accessing the Suntec+ Mobile App in such a way as to, or commit any act that would or does, impose an unreasonable or disproportionately large load on our infrastructure;
3.4.5 executing any form of network monitoring which will intercept data not intended for you;
3.4.6 entering into fraudulent interactions or transactions with us or a Merchant (which shall include entering into interactions or transactions purportedly on behalf of a third party where you have no authority to bind that third party or you are pretending to be a third party);
3.4.7 engage in any conduct which, in our exclusive reasonable opinion, restricts or inhibits any other customer from properly using or enjoying the Mobile App.

4. Rules about the use of the Mobile App for Purchases
4.1 We will use reasonable endeavours to correct any errors or omissions as soon as practicable after being notified of them. However, we do not guarantee that the Mobile App will be free of faults (or Vouchers will be free of error) and we do not accept liability for any errors or omissions. In the event of an error or fault, you should report it by email to rewards@sunteccity.com.sg. We will respond within 2 business days.

4.2 We do not warrant that your use of the Mobile App will be uninterrupted and we do not warrant that any information (or messages) transmitted via the Mobile App will be transmitted accurately, reliably, in a timely manner or at all.

4.3 We do not provide any warranty that the Mobile App is free from viruses or anything else which may have a harmful effect on any technology.

4.4 Although we will try to allow uninterrupted access to the Mobile App, access may be suspended, restricted or terminated from time to time.

4.5 We reserve the right to change, modify, substitute, suspend or remove without notice any information or Voucher on the Mobile App from time to time. Your access to the Mobile app may also be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. We will attempt to restore such access as soon as we reasonably can. We assume no responsibility for functionality which is dependent on your browser or other third party software to operate. For the avoidance of doubt, we may withdraw any information or Voucher from the Mobile App at any time.

4.6 We reserve the right to block access to and or to edit or remove any material which in our reasonable opinion may give rise to a breach of any of these terms of use.

5. Suspension and termination
5.1 If you use (or anyone other than you, with your permission uses) the Mobile App or a Voucher in contravention of these terms of use, we may suspend your use of the Mobile App (in whole or in part) and or a Voucher.

5.2 If we suspend the Mobile App or a Voucher, we may refuse to restore Mobile App or Voucher until we receive an assurance from you, in a form we deem acceptable that there will be no further breach of the provisions of this Agreement.

5.3 APM shall co-operate with any law enforcement authorities or court order requesting or directing us to disclose the identity or locate anyone in breach of these terms of use.

5.4 Without limitation to above clauses, we shall be entitled immediately or at any time (in whole or in part) to i) suspend the Mobile App; ii) suspend your use of the Mobile App; iii) suspend the use of the Mobile app for persons we believe to be connected (in whatever manner) to you; and/or iv) terminate the transaction immediately if:
5.4.1 you commit any breach of these terms;
5.4.2 we suspect, on reasonable grounds, that you have, might or will commit a breach of these terms; or
5.4.3 we suspect, on reasonable grounds, that you may have committed or be committing any fraud against us or any person.

5.6 Our right to terminate the transaction and user account shall not prejudice any other right or remedy we may have in respect of any breach or any rights, obligations or liabilities accrued prior to termination.

7. Our cancellation rights
7.1. We may cancel: We may have to cancel an order due to an event outside our reasonable control, including fulfilment difficulties on merchants’ end. We will promptly contact you if this happens.

8. Returns and refunds
8.1. Our Return Policy: All sales are final.

8.2 Unredeemed purchases: Goods and or Services not collected and or redeemed within the voucher’s validity period will not be eligible for any refunds.

9. Indemnity
9.1 You shall indemnify us against each loss, liability or cost incurred by us arising out of any claims or legal proceedings which are brought or threatened against us by any person arising from a) your use of the Mobile App service; b) the use of a Voucher; c) any breach of these terms of use by you.

10. Limitation of liability
10.1 We do not warrant and we exclude all Liability in respect of:
• the accuracy, completeness, fitness for purpose or legality of any information accessed using the Mobile App service;
• the transmission or the reception of or the failure to transmit or to receive any material of whatever nature; and
• your use of any information, goods or services Purchased (which is at your own risk and it is your responsibility);
• the quality, safety, usability or any other aspect of the products or services in respect of which is Voucher may be redeemed).
• any loss of money, goodwill, or reputation, or any special, direct, indirect, or consequential damages arising out of your purchase of the Voucher in exchange for sale or supply of goods and services through Mobile App
